Terms of Service

Last updated: November 2, 2026

Welcome to Legwork, a membership network for community organizations. Please read these Terms of Service carefully before using our platform. If you have any questions, comments, or concerns, please contact us at: support@legwork.so.

These Terms of Service (the “Terms”) are a binding contract between you and Legwork Systems, Inc., a Delaware public benefit corporation (“Legwork,” “we,” “us,” and “our”). By accessing or using our website(s), applications, and services (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy (together, the “Agreement”). If you do not agree, do not use the Services.

Your use of or participation in certain features of the Services may also be subject to additional policies, rules, or conditions (“Additional Terms”), which are incorporated herein by reference. In the event of a conflict between these Terms and any Additional Terms, the Additional Terms will govern with respect to the applicable feature.

“Sensitive Information” means personal data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data, biometric data used to uniquely identify a natural person, data concerning health, or data concerning a natural person’s sex life or sexual orientation.

In the event of a conflict between Legwork’s legal documents, the following order of precedence applies: the Organization Data Processing Agreement takes precedence over these Terms, and these Terms take precedence over the Privacy Policy.

These Terms will remain in effect while you use the Services.

1. Eligibility

You must be at least 18 years old to create an account or use the Services. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

You are responsible for ensuring that your use of the Services complies with all laws, rules, and regulations applicable to you in your jurisdiction. By using the Services, you represent that your use of the Services is not prohibited by the laws of your jurisdiction.

2. Account Creation and Security

To access most features of the Services, you must create a Legwork account. When you create an account, you agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your account information to keep it accurate, current, and complete;
  • Maintain the security of your account credentials, including your password and any login codes;
  • Accept responsibility for all activity that occurs under your account; and
  • Notify us immediately at support@legwork.so if you believe your account has been compromised.

You may not share your account credentials with any other person or permit any other person to access or use the Services through your account. We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or fraudulent.

Accounts are personal and non-transferable. You may not sell, trade, gift, or otherwise transfer your account to another person. If you are an administrator of an organization on Legwork, you may transfer your administrative role to another authorized individual through the platform’s built-in role management features, but the underlying user account remains yours.

3. Supporter Terms

This section applies to you if you use the Services as a supporter — to discover, join, or support organizations on the platform. All membership payments made through the Services are at your own risk. It is your responsibility to investigate an organization and to understand how your payment will be used before purchasing a membership. Legwork does not endorse any organization and does not guarantee that payments will be used in accordance with promises made by any organization.

3.1 Memberships and Payments

When you purchase a membership through Legwork, you are entering into a recurring payment arrangement to support the organization you have chosen. By purchasing a membership, you agree to the following:

  • You authorize Legwork to charge your selected payment method on a recurring basis (monthly, annually, or as otherwise specified by the membership tier you selected) for the membership amount and any applicable fees you have elected to cover.
  • Membership payments are processed by our payment processor, Stripe. By purchasing a membership, you also agree to Stripe’s terms of service as applicable to you as a cardholder.
  • Pricing for membership tiers is set by the organization, not by Legwork. Organizations may change their tier pricing at any time for new and renewing memberships.
  • Depending on the organization’s configuration, you may be offered the option, or asked as a condition of membership, to cover Legwork’s platform fee and payment processing costs so that the organization receives 100% of your membership amount. Where offered as an option, your choice does not affect your membership status.

Some organizations may offer “pay what you want” membership tiers that allow you to choose the amount you pay. By selecting a pay-what-you-want tier, you authorize Legwork to charge your selected payment method on a recurring basis for the amount you specify at checkout, subject to any minimum amount set by the organization. You may update the amount you pay at any time through your account settings, effective as of the next billing cycle.

Legwork generates revenue through platform fees on membership payments and through the subscription fees that organizations pay Legwork. For details, see Section 4.4 (Platform Fee and Fee Coverage) and Section 4.7 (Plans and Subscription Fees).

3.2 Cancellation

You may cancel any membership at any time through your Legwork account. Upon cancellation:

  • Your membership will remain active through the end of your current paid billing period.
  • You will not be charged for subsequent billing periods.
  • You may rejoin the organization at any time by purchasing a new membership.

3.3 Loss of Access

You may lose access to membership benefits and organization content in a number of circumstances, including but not limited to: cancellation of your membership, failure of your payment method, termination or suspension of your account, the organization blocking you, the organization leaving the platform or being removed from the platform, the organization changing who has access to certain benefits, or Legwork removing content that violates these Terms. Legwork is not required to allow you to access any particular organization or membership benefit.

3.4 Refunds

Membership payments are transferred to organizations upon processing. Refund policies are as follows:

  • Organization-initiated refunds. Organizations are primarily responsible for handling refund requests from their members. If you believe you are entitled to a refund, you should first contact the organization directly through the platform or through the organization’s own contact channels.
  • Legwork’s discretion. Legwork reserves the right, at its sole discretion, to issue refunds in cases including but not limited to: fraud, violation of these Terms by the organization, suspension or removal of an organization from the platform, or other circumstances that Legwork determines warrant a refund. If Legwork issues a refund on an organization’s behalf, the refund amount may be deducted from the organization’s account balance or future payouts.
  • Timing. Refunds may take up to 10 business days to process after approval.
  • No guarantee. Requesting a refund does not guarantee that it will be approved. All refund decisions made by Legwork are final.

Refund requests must be submitted within 180 days of the original payment date. Requests submitted after 180 days are not eligible for a refund. Organization-initiated refunds are subject to the organization’s available account balance; if the organization’s balance is insufficient to cover the refund, Legwork is not obligated to fund the difference.

3.5 Tax Deductibility

Certain organizations on Legwork may be recognized tax-exempt organizations (e.g., 501(c)(3) organizations). Legwork may display estimated tax-deductible amounts on your payment receipts based on information provided by the organization. However, Legwork does not provide tax advice. You are solely responsible for determining the tax deductibility of your membership payments and should consult a qualified tax professional for guidance.

4. Organization Terms

This section applies to you if you use the Services to create, manage, or operate an organization on the platform. Legwork is a platform that provides membership infrastructure; organizations are solely responsible for fulfilling the membership benefits they offer, for the accuracy of their organizational information, and for their interactions with their members. Legwork is not an agent, consultant, professional fundraiser, broker, financial institution, charity, or fiduciary for any organization, supporter, or user for any purpose.

4.1 Organization Account and Onboarding

When you create an organization on Legwork, you represent and warrant that:

  • You are authorized to act on behalf of the organization;
  • The organization is located in the United States and can receive payouts to a bank account in the United States. Legwork currently onboards organizations located in the United States only and prices memberships in U.S. dollars;
  • The information you provide about the organization, including its name, description, mission, tax status, and tax identification number, is accurate and complete;
  • If you claim tax-exempt status (e.g., 501(c)(3)), that status is valid and current; and
  • You will promptly update any information that becomes inaccurate or changes.

Legwork may, but is not obligated to, verify the accuracy of organizational information, including tax-exempt status. Verification by Legwork does not constitute an endorsement or guarantee of the organization’s legitimacy, tax status, or compliance with applicable laws.

By creating an organization on Legwork, you acknowledge and agree that Legwork may use and share information provided by the organization with supporters, regulators, law enforcement, or others in connection with any investigation of the organization or as required by applicable law.

By creating an organization on Legwork, you also agree to the Organization Data Processing Agreement, which governs how organizations are permitted to process the personal data of their members and contacts accessed through the Services.

4.2 Membership Programs

You are solely responsible for:

  • Setting membership tiers, pricing, and benefits;
  • Delivering the benefits you promise to your members;
  • Communicating with your members about changes to your membership program; and
  • Complying with all applicable laws and regulations in connection with your membership program, including consumer protection laws, tax laws, and charitable solicitation laws.

While it is discouraged, failure to deliver promised membership benefits does not constitute a violation of these Terms. However, Legwork reserves the right to take action — including suspension or removal from the platform — if an organization engages in a pattern of failing to deliver benefits, misrepresenting its offerings, or otherwise harming supporters.

Because Legwork may be exposed to risk based on what organizations do with funds earned through the platform, Legwork reserves the right to review an organization’s conduct and activity both on and off the platform in connection with its use of the Services. This review may inform decisions about an organization’s continued access to the platform.

4.3 Payments and Fees

Legwork processes membership payments on behalf of organizations through Stripe Connect. By using the Services as an organization, you agree to the following:

  • Plans: Organizations use the Services under a plan — Community, Plus, or Pro — each with its own platform fee rate, plan limits, and, for Plus and Pro, a subscription fee. Community has no subscription fee. See Section 4.7 (Plans and Subscription Fees).
  • Revenue model: Legwork generates revenue through a platform fee applied to each membership payment, through subscription fees for Plus and Pro, and through usage-based fees described in Section 4.7. Your platform fee rate follows your plan and will be disclosed to you during onboarding and on your organization’s dashboard and plan settings.
  • Stripe Connect: You must complete Stripe’s onboarding process, including identity verification and banking information, to receive payouts. Your use of Stripe Connect is subject to Stripe’s terms of service, and Legwork is not responsible for Stripe’s actions, policies, or service availability.
  • Payouts: Membership funds, less the platform fee and payment processing costs unless a supporter has elected to cover them, are transferred to your connected Stripe account. Any payout fees Stripe charges to deliver funds from your connected Stripe account to your bank account are charged to your organization by Stripe. Payout timing follows the payout schedule of your plan (see Section 4.7) and is subject to Stripe’s processing schedules. Where your plan offers instant payouts, you may request one for the fee shown on the Pricing page.
  • Negative balances: If refunds, chargebacks, or other adjustments cause your account balance to become negative, Legwork reserves the right to recover those funds from future payouts.
  • Chargebacks and disputes: You are responsible for chargebacks and payment disputes initiated by your members. Legwork may deduct chargeback amounts and associated fees from your account balance or future payouts.

4.4 Platform Fee and Fee Coverage

Legwork generates revenue through a platform fee applied to each membership payment. The platform fee is separate from, and in addition to, any subscription fee under Section 4.7 (Plans and Subscription Fees).

Platform Fee

Legwork applies a percentage-based platform fee to the membership amount of each membership payment. The fee rate depends on the organization’s plan and is published on the Pricing page. It is disclosed to the organization during onboarding and on the organization’s dashboard and plan settings. Payment processing costs (currently 2.9% + 30¢ for a card payment and 0.8%, capped at $5, for a U.S. bank account payment, as published on the Pricing page) are separate from the platform fee and apply on every plan. Unless a supporter elects to cover fees, organizations receive the membership amount less the platform fee and payment processing costs.

Supporter Fee Coverage

Organizations may allow supporters to cover Legwork’s platform fee and payment processing costs at checkout. When a supporter elects to cover fees, 100% of the membership amount is transferred to the organization’s connected Stripe account. The fee coverage amount shown at checkout is calculated from Legwork’s platform fee and Stripe’s published processing rates for the payment method on file; it may differ from the processing cost Stripe ultimately charges Legwork, and any difference is borne by Legwork, not by the supporter or the organization. Covering fees is voluntary for the supporter unless the organization has configured it as a condition of membership.

Supporter Disclosures

At checkout, supporters will be shown a clear breakdown of the membership amount and any fees they have elected to cover. Legwork will not charge supporters hidden fees beyond what is disclosed at checkout.

Subject to Section 4.7 (Changes to Prices), Legwork reserves the right to modify, suspend, or terminate any fee rate or fee coverage option. Legwork may act immediately, in its sole discretion, for an individual organization in cases of suspected fraud, abuse, or misuse. Fee coverage is not insurance, surety, escrow, or a fiduciary undertaking. Legwork remains solely a platform provider and not a payment processor, money transmitter, or financial institution.

4.5 Organization Representations Regarding Communications

If you use the Services to communicate with members or contacts via email, SMS text message, or other messaging channels, you acknowledge that Legwork provides a channel through which these communications may be transmitted but does not participate in the communications. Legwork does not determine when a communication is sent, to whom it is sent, or the content of the communication. You, and not Legwork, are solely responsible for all communications you send through the platform.

You represent and warrant that:

  • You have obtained all necessary consents required by applicable law — including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and any applicable state laws — before sending any communications through the platform;
  • For contacts whose information you have imported into the platform, you have obtained prior express consent (or, where required for marketing messages, prior express written consent) from each individual to receive the types of communications you intend to send;
  • For members who joined your organization through the platform, you will rely on the consent mechanisms provided by Legwork and will not send communications beyond the scope of that consent; and
  • You will honor all opt-out and unsubscribe requests promptly and in compliance with applicable law.

You agree to indemnify and hold harmless Legwork from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your failure to obtain proper consent, your violation of any applicable communications law, or any unauthorized or unsolicited communications you send through the platform. This indemnification obligation applies regardless of whether the communications were sent to individuals with Legwork accounts or to imported contacts without Legwork accounts.

4.6 Data Responsibilities and Sensitive Information

Organizations are responsible for the data they collect and process through the Services, including any data imported into Legwork’s CRM tools. Organizations must comply with all applicable data protection laws and with the Organization Data Processing Agreement.

Organizations shall not collect, store, or process Sensitive Information (as defined in the introduction to these Terms) through the Services unless they have obtained explicit consent from the data subject and have implemented appropriate safeguards in accordance with applicable law. Additionally, you may not store government-issued identification numbers (such as Social Security numbers or passport numbers), financial account numbers (such as bank account or credit card numbers), authentication credentials (such as passwords or security keys), or criminal history records through the Services. Legwork does not knowingly process Sensitive Information and is not liable for any Sensitive Information that an organization collects or processes through the Services without appropriate consent and safeguards.

4.7 Plans and Subscription Fees

Organizations use the Services under one of three plans: Community, Plus, or Pro. Current prices, platform fee rates, plan limits, and usage-based fees are published on the Pricing page and in any order form you sign. Payment processing costs are separate from, and in addition to, the platform fee and any subscription fee.

Subscription Fees and Renewal

Community has no subscription fee. Plus and Pro have a subscription fee, billed in advance, monthly or annually as you choose or as your order form states. Pro is sold under an annual order form. A paid subscription renews automatically for successive billing periods of the same length until you cancel it.

Changing or Cancelling a Plan

An organization’s owner or an administrator may move the organization between Community and Plus, or cancel a paid subscription, in the Services. A move to or from Pro is made through an order form with Legwork. Downgrading to Community ends the paid subscription. An upgrade takes effect immediately. A downgrade or cancellation takes effect at the end of the current billing period, and the organization keeps its paid plan until then. Except where the law requires otherwise, subscription fees are not refundable and we do not give refunds or credits for partial billing periods.

Platform Fee Rate

The platform fee rate that applies to a membership payment is the rate of the plan in effect when the payment is made.

Operator Seats and Viewers

An operator seat is held by each person who owns, administers, or organizes an organization on Legwork (an owner, an administrator, or an organizer). Each plan includes a number of operator seats, published on the Pricing page. Community is limited to its included operator seats and cannot add more. Plus and Pro may add operator seats for a monthly fee per seat. Viewers, who can see an organization’s information but cannot change it, do not hold operator seats, and there is no limit on the number of viewers, members, or contacts on any plan. If an organization moves to Community with more operators than its limit allows, the owner keeps operator access and chooses which other operators keep their seats; the rest become viewers, and until the owner chooses, the most recently added operators become viewers. No user or data is deleted.

Usage-Based Fees

Additional operator seats, email sends beyond your plan’s monthly allowance, and instant payouts are charged as they are incurred, at the rates published on the Pricing page or stated in your order form. Where an additional charge applies, we may deduct it from your payouts or bill it to your payment method on file.

Payout Schedule

Payouts run on the schedule of your plan: monthly on Community, weekly on Plus, and weekly or daily on Pro. Instant payouts are available on Plus and Pro for a fee, shown on the Pricing page, each time you use one.

Non-Payment

If a subscription fee or usage-based fee is not paid when due, we will notify the organization, and if the amount remains unpaid 14 days after that notice, Legwork may move the organization to Community or suspend its paid features. From then on, the Community platform fee rate applies to its membership payments.

Taxes

Fees stated on the Pricing page or in an order form do not include taxes. You are responsible for any sales, use, or similar taxes that apply to your subscription, other than taxes on Legwork’s income.

Changes to Prices

Legwork may change its prices, platform fee rates, and plan limits. A change takes effect for an organization only after we give the organization at least 30 days’ notice by email or through the Services. A change to a subscription fee never applies to a billing period that is already paid for, including the term of an order form; it applies from the first renewal after the notice period ends. If you do not accept a change, you may cancel your paid subscription before that renewal, and the price in effect before the change applies until the cancellation takes effect at the end of the billing period.

Separate Agreements

If an organization has signed a separate written agreement with Legwork, such as an order form, a design partner agreement, or a founding organization agreement, that agreement forms part of the agreement between that organization and Legwork and prevails over the published prices for that organization, to the extent it conflicts with this Section. Services such as migration and onboarding are scoped and priced separately.

5. Communications from Legwork

By creating a Legwork account, you consent to receive communications from Legwork, including:

5.1 Transactional Communications

Legwork may send you transactional emails and, if you have provided a phone number and opted in, SMS text messages for purposes including:

  • Account authentication and security (e.g., login codes, password reset links);
  • Email verification and account notifications;
  • Payment receipts, billing confirmations, and payment failure alerts;
  • Membership status updates (e.g., welcome messages, cancellation confirmations, renewal reminders);
  • Platform announcements and service-related notices; and
  • Responses to your inquiries or support requests.

These transactional communications are a necessary part of the Services and cannot be opted out of while you maintain an active account, except as required by law.

5.2 SMS Text Messages

If you provide a phone number in connection with your Legwork account, you may consent to receive SMS text messages from Legwork for transactional and service-related purposes. By opting in to SMS communications, you acknowledge and agree that:

  • You consent to receive one or more auto-dialed or prerecorded text messages at the phone number you have provided;
  • Message and data rates may apply depending on your mobile carrier and plan;
  • Message frequency will vary based on your account activity;
  • You may opt out of non-transactional SMS messages at any time by replying STOP to any message or by updating your notification preferences in your account settings. You may receive a subsequent message confirming your opt-out request;
  • You may text HELP for assistance or contact us at support@legwork.so;
  • Neither Legwork nor your mobile carrier is liable for delayed or undelivered messages;
  • SMS services are provided on an “as is” basis, and we make no warranty, express or implied, including implied warranties of merchantability and fitness for a particular purpose, with respect to SMS message delivery;
  • Data obtained from you in connection with this SMS service may include your cell phone number, your carrier’s name, and the date, time, and content of your messages, as well as other information that you provide. We may use this information to contact you and to provide the services you request from us; and
  • Your consent to receive promotional or non-transactional messages is voluntary. You do not need to consent to receive promotional messages in order to use the Services or purchase any membership.

Legwork reserves the right to change or terminate the SMS service at any time, with or without cause and without advance notice.

SMS communications from Legwork are governed by our Privacy Policy. Your consent to receive SMS messages is not a condition of purchasing any membership or using any feature of the Services.

5.3 Invitations via SMS

Legwork may offer features that allow you to invite others to join the platform or a specific organization by submitting a phone number or texting an invite code. When you use these features:

  • You represent that the recipient has given you permission to share their phone number and to receive the invitation message;
  • You agree that Legwork may send a one-time SMS invitation message to the phone number you provide; and
  • You agree to indemnify Legwork for any claims arising from your failure to obtain permission or your improper use of invitation features.

6. User-Generated Content

6.1 Your Content

The Services may allow you to create, post, upload, share, or otherwise make available content, including but not limited to text, images, videos, photos, links, comments, profile information, organizational descriptions, membership tier descriptions, and benefit listings (collectively, “Your Content”).

You retain ownership of Your Content. However, by making Your Content available through the Services, you grant Legwork a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform Your Content solely in connection with operating, providing, and improving the Services. This license includes the right to display Your Content on the platform, in search results, in recommendations, and in promotional materials for the Services (such as showcasing an organization’s profile in a directory or in Legwork marketing materials).

This license continues for as long as Your Content is available on the Services and for a reasonable period thereafter to allow for removal from backup systems and caches.

6.2 Content Responsibilities

You are solely responsible for Your Content. You represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to post Your Content and to grant the license described above;
  • Your Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party; and
  • Your Content complies with these Terms and all applicable laws.

6.3 Content Moderation

Legwork does not pre-screen all content but reserves the right, at its sole discretion, to review, edit, refuse to post, or remove any content for any reason, including content that we believe violates these Terms, our policies, or applicable law, or that is otherwise objectionable. We are not obligated to monitor or moderate content, and we assume no liability for content posted by users or organizations.

7. Community Guidelines and Prohibited Uses

You are solely responsible for compliance with all applicable law in relation to your use of the Services. You are further solely responsible for all content that you upload, post, publish, display, transmit, or otherwise make available through the Services.

The following are examples of content and uses that are prohibited by Legwork. This list is not exhaustive, and we reserve the right to remove any content and investigate any user or organization who, in our sole discretion, violates any of the terms or spirit of these Terms. As we investigate, we may consider all available material, including but not limited to social media, related news, and any other information that we, in our sole discretion, deem relevant. We further reserve the right, without limitation, to ban or disable your use of the Services, remove offending content, suspend or terminate your account, stop or freeze payments, and report you to law enforcement authorities or otherwise take appropriate legal action.

Without limiting the foregoing, you agree not to use the Services for any of the following:

  • Violation of law: Any activity that violates any applicable law, regulation, or ordinance, including charitable solicitation laws, consumer protection laws, and tax laws;
  • Fraud and misrepresentation: Providing information that is fraudulent, misleading, inaccurate, dishonest, or impossible, particularly if done knowingly with the intent to deceive, or creating an organization page for the purpose of defrauding supporters or misrepresenting the nature, purpose, or activities of the organization;
  • Hate, discrimination, and harassment: Content or activity that supports hate, violence, harassment, bullying, discrimination, terrorism, or intolerance of any kind relating to race, ethnicity, national origin, religious affiliation, sexual orientation, sex, gender or gender identity, age, disability, or mental, physical, or other medical conditions;
  • Violence and weapons: Content promoting or facilitating violence, including the sale or promotion of weapons, explosives, ammunition, or violent ideologies;
  • Exploitation: Activity involving human trafficking, exploitation, ransom, bribery, or bounty;
  • Pornography and graphic content: Pornographic content or sexual content relating to minors, or offensive, graphic, or perverse content;
  • Financial schemes: Pyramid schemes, “get rich quick” schemes, network marketing programs, investment opportunities promising high rewards, or other deceptive financial arrangements conducted through the platform;
  • Money laundering and financial crimes: Activity intended to obfuscate the origin of funds, facilitate money laundering, terrorist financing, tax evasion, or other financial crimes;
  • Intellectual property violations: Content that infringes or violates the copyright, trademark, patent, trade secrets, or other proprietary rights of any third party;
  • Sanctions violations: Activity with, in, or involving countries, organizations, entities, or persons embargoed or blocked by any government, including those on sanctions lists identified by the U.S. Office of Foreign Assets Control (OFAC);
  • Impersonation: Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity;
  • Unauthorized communications: Sending unsolicited or unauthorized communications through the platform, including spam, chain letters, or bulk messaging, or collecting or harvesting personal information of other users without their consent;
  • Payment manipulation: Attempting to bypass or circumvent the designated method of payment provided by Legwork, or engaging in self-payments or other schemes to manipulate the payment system;
  • Misuse of funds: Receiving membership payments through the platform and using them for purposes other than those described to supporters, or failing to deliver membership benefits as described;
  • Platform abuse: Engaging in any activity that could damage, disable, overburden, or impair the Services, including denial-of-service attacks, or accessing the Services through a crawler, scraper, bot, or other automated means in a way that disregards our robots.txt file or places an unreasonable load on our systems;
  • Security violations: Attempting to gain unauthorized access to any part of the Services, other users’ accounts, or any systems or networks connected to the Services, or attempting to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;
  • Slander and personal attacks: Content whose primary purpose is to cause reputational harm to another person, or personal attacks and caustic content submitted with the aim of harming others;
  • Export violations: Transmitting or transferring information or software derived from the Services to foreign countries or persons in violation of U.S. export control laws; or
  • Encouraging violations: Encouraging or enabling any other person to do any of the foregoing.

Search engines and other automated agents are welcome to crawl and index the public pages of the Services, including the pages our sitemap lists, as long as they follow our robots.txt file.

These Terms and our policies cover most situations, but if you find a new or creative way to harm Legwork, our users, or our community, we may take action to prevent it. Legwork reserves the right to determine, in its sole discretion, what constitutes a violation of these Terms and to take appropriate action.

8. Intellectual Property

8.1 Legwork’s Intellectual Property

The Services, including all software, designs, text, graphics, logos, icons, and other content created by Legwork (excluding Your Content), are the property of Legwork or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable law permits it or you have our written permission.

8.2 Trademarks

“Legwork” and any associated logos are trademarks of Legwork. You may not use these trademarks without our prior written consent, except as reasonably necessary to describe your use of the Services (e.g., “Powered by Legwork” on an embeddable signup form).

8.3 Copyright Complaints and Repeat Infringer Policy

If you believe that content on the Services infringes your copyright, please contact us at support@legwork.so with a description of the copyrighted work, the location of the allegedly infringing content, and your contact information. We will respond to valid copyright complaints in accordance with applicable law, including the Digital Millennium Copyright Act (DMCA).

Legwork has adopted and reasonably implemented a policy for terminating, in appropriate circumstances, the accounts of users and organizations that are the subject of repeated valid notifications of claimed copyright infringement or other evidence suggesting a pattern of repeat infringement.

9. Data Portability and Deletion

9.1 Organization Data Export

Organizations may export their member data, including membership records and CRM contact records, at any time through the platform’s export tools. Your members are your members — Legwork is a steward of your membership program, not a gatekeeper.

Once data is exported from the platform, the exporting organization is solely responsible for that data and its compliance with all applicable privacy and data protection laws.

9.2 Supporter Data Deletion

Supporters may request deletion of their Legwork account at any time. Upon deletion:

  • Your account and personal information held by Legwork will be permanently deleted, except as required for legal, financial, or tax compliance purposes (e.g., payment records may be retained in anonymized or aggregated form).
  • You will be given the option to request removal of your contact information from individual organizations’ records on the platform. If you choose to have your data removed, your contact information will be removed from those organizations’ records on Legwork. This does not affect any data that organizations maintain outside of the Legwork platform.
  • If you do not request removal, organizations may retain the contact information you previously consented to share with them.
  • Membership transaction history may be retained in anonymized form for the organization’s bookkeeping and reporting purposes.

9.3 Organization Account Deletion

Organizations may request deletion of their organization account at any time. Before deletion is processed, the organization must cancel all active memberships and notify affected supporters of the organization’s departure from the platform. Deletion cancels any paid subscription as described in Section 15.1.

Upon deletion, any refunds owed to supporters will be issued from the organization’s available account balance. Legwork is not obligated to fund refunds from its own funds if the organization’s balance is insufficient. Legwork will retain payment and transaction records as required for legal and financial compliance.

Supporter accounts and memberships associated with the organization will be updated to reflect the organization’s departure from the platform. Any Supporter Data or Imported Data that the organization has previously exported or copied from the platform remains subject to the obligations of the Organization Data Processing Agreement.

10. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LEGWORK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

LEGWORK DOES NOT ENDORSE, WARRANT, OR GUARANTEE ANY ORGANIZATION ON THE PLATFORM, INCLUDING THE ACCURACY OF AN ORGANIZATION’S STATED MISSION, TAX STATUS, OR MEMBERSHIP BENEFITS. YOUR DECISION TO SUPPORT AN ORGANIZATION IS MADE AT YOUR OWN DISCRETION AND RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEGWORK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING ANY ORGANIZATION OR SUPPORTER;
  • ANY CONTENT OBTAINED FROM THE SERVICES;
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR
  • ANY OTHER MATTER RELATING TO THE SERVICES,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT LEGWORK HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL LEGWORK’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU HAVE PAID TO LEGWORK (NOT TO ORGANIZATIONS) IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless Legwork and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys’ fees) arising from:

  • Your use of and access to the Services;
  • Your violation of any provision of these Terms;
  • Your violation of any third-party right, including any intellectual property, privacy, or publicity right;
  • Your Content;
  • Any communications you send or facilitate through the Services, including any SMS text messages or emails sent to members or contacts; or
  • Any claim that Your Content or your use of the Services caused damage to a third party.

This indemnification obligation will survive termination of these Terms and your use of the Services. Legwork reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with Legwork in asserting any available defenses.

14. Dispute Resolution and Governing Law

14.1 Informal Resolution

We encourage you to contact us if you have an issue. Before filing any formal legal action, you agree to first contact us at support@legwork.so and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If the dispute is not resolved within 60 days of your initial contact, either party may proceed as set forth below.

14.2 Jurisdiction and Venue

If a dispute arises out of these Terms or in relation to your use of the Services and cannot be resolved informally, the dispute will be resolved in the federal or state courts located in Santa Clara County, California. Both parties consent to the exclusive jurisdiction and venue of the courts in Santa Clara County, California for the purpose of resolving any such dispute.

14.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

14.4 Equitable Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

14.5 Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

15. Termination

15.1 By You

You may terminate your account at any time by following the account deletion process within the Services or by contacting us at support@legwork.so. Termination of your account does not relieve you of any obligation to pay any outstanding amounts owed. Terminating an organization account cancels its paid subscription at the end of the current billing period, with no further renewal, and Section 4.7 (Plans and Subscription Fees) applies to fees already paid.

15.2 By Legwork

Legwork may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, extended periods of inactivity, or conduct that we believe is harmful to other users, organizations, or Legwork. If Legwork terminates an organization account without cause, Legwork will refund the prepaid subscription fee for the unused part of the current billing period.

15.3 Effects of Termination

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

You may not bring any claim against Legwork arising from or relating to Legwork’s decision to suspend, terminate, or remove another user’s account or another organization’s presence on the platform. If you bring such a claim and it is found to be without merit, you agree to reimburse Legwork for its reasonable attorneys’ fees and costs incurred in defending against the claim.

16. Changes to These Terms

We may update these Terms from time to time. If we make changes that we determine, in our sole discretion, are material, we will notify you by email (to the address associated with your account) or by posting a prominent notice on the Services before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and may terminate your account.

We encourage you to periodically review these Terms for the latest information on our terms and conditions.

17. International Use

We control and operate the Services from our offices in the United States, and all information is processed within the United States. We do not represent that the Services or any content available through the Services are appropriate or available for use in other locations. Persons who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with local laws if and to the extent local laws are applicable.

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Services. Without limiting the generality of the foregoing, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

18. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, any Additional Terms, and any order form or other separate written agreement with Legwork, constitute the entire agreement between you and Legwork regarding the Services and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from these Terms, and the remaining provisions will continue in full force and effect.

Waiver. The failure of Legwork to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Legwork.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without Legwork’s prior written consent. Legwork may assign these Terms in whole or in part at any time without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

No Partnership. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Legwork.

Notices. Any notices or communications provided by Legwork under these Terms may be given by posting to the Services or by sending an email to the address associated with your account. Notices from you to Legwork must be sent to support@legwork.so.
